Terms of service

The rules for using URMS during early access, in plain language.

This document is a draft and may change before general availability. Where a signed agreement with us says something different, the signed agreement applies.

1. Who these terms are with

These terms are an agreement between Universal Telematics Solutions Corp., 8457 Newman Blvd, Suite 272, LaSalle, Quebec H8N 0A2, Canada ("we") and the organisation that opens a URMS account ("you"). The person accepting them confirms they can bind that organisation.

2. The service

URMS is a hosted platform for managing routers and other customer equipment over TR-069. We give you a sandbox with its own ACS address, a web console and the features described on this site. During early access, features may change, and some are marked beta.

3. Early access

Accounts are approved by us. Early access is provided to help us build the product with our first customers. We may change or end early access with reasonable notice, and we'll help you move your routers elsewhere if we do.

4. Fees

Fees, if any, are agreed with you in writing before they apply. We won't charge you without that agreement.

5. Your responsibilities

  • Only connect equipment you own or are authorised to manage, and only manage it for lawful purposes.
  • Have the notices and consents your subscribers need for their router data to be processed through URMS.
  • Keep console accounts, router logins and webhook secrets confidential, and tell us promptly about any unauthorised use.
  • Check that commands such as firmware upgrades, factory resets and Wi-Fi changes are right for the equipment before running them. Beta features can fail on untested models.

6. Acceptable use

Don't use URMS to attack or disrupt other networks, to access equipment without permission, to probe or overload the platform, to get around its isolation or limits, or to break any law. We may suspend access that puts the platform or other customers at risk, and we'll tell you why.

7. Your data

You own the data in your sandbox. We use it only to provide and secure the service, as described in our privacy policy. You can ask for an export or deletion at any time. When your account ends, we delete your sandbox, and backups containing it expire within 7 days.

8. Availability and support

We work to keep URMS available and secure, but during early access we don't offer a service-level guarantee unless one is agreed in writing. Support is by email at info@urms.cloud.

9. Warranties and liability

The service is provided as is during early access. To the extent the law allows, we aren't liable for indirect or consequential losses, such as lost revenue or data, and our total liability is limited to the total fees you paid for the service in the 12 months before the event giving rise to the claim. Nothing here limits rights that cannot be limited under applicable consumer protection law.

10. Ending the agreement

You can stop using URMS and close your account at any time. We can end the agreement with 30 days written notice, or immediately for a serious breach of these terms.

11. Changes

We may update these terms. We'll post changes here and tell account holders about significant ones at least 30 days before they apply.

12. Law

These terms are governed by the laws of the Province of Quebec and the federal laws of Canada that apply there. The courts of the judicial district of Montreal have jurisdiction over any dispute arising from these terms. These terms are available in English and French.
